Media May Have Misinterpreted Air America Bailout Deal

Since Air America Radio's bankruptcy bailout by wealthy Manhattan real estate mogul Stephen L Green was announced on February 7 (and finalized yesterday), the public has been led to believe the network's assets had fetched $4.25 million.

But the news media, led by the Associated Press, may have blown the story: in fact, Air America's true valuation may actually be zero!

Did anyone examine the filings?

That's the stunning conclusion reached by bankruptcy expert Donald J Quigley, a Denver- based attorney who has been assisting your Radio Equalizer on this matter for several weeks.

Quigley is associated with Denver's Block Markus Williams LLC and as a matter of disclosure, one of the company's creditors is a distant relative.

Could this be but the latest chapter in Air America Radio's ongoing shell game, where insiders always manage to stay one step ahead of investors and creditors?


Out of the reported $4.25 million purchase price, according to our legal expert, "$3.25 million is illusory: that's money that Rob Glaser (RealNetorks CEO and longtime
Air America investor, seen in right image) had already loaned to the company. Air America already blew through this by continuing to operate during bankruptcy at a loss rate of $1m per month.

"Glaser has simply written off that loan as uncollectable and decided to accept a minority stake in the new company, rather than seeing how much (if any) cash he could salvage through a sale to a third party," Quigley continued.

As a result, this portion represents an accounting maneuver, rather than a new cash infusion into the company.


As for the other million, our expert broke it down this way: "the buyers are putting in $500,000 in actual cash for the 'carve- out', which pays the professionals." That amount covers standard legal and other expenses related to the bankruptcy.

For the remaining $500,000, also actual money put forward by the purchasers, the dough is earmarked to stay current on leases for offices and equipment, in addition to a payment to AFTRA, the radio and television labor union.


The sum total of this deal is this, according to Quigley: "there is nothing in this sale that would prove the company was worth more than exactly zero dollars, as it's all write-offs and the buyer's unavoidable expenses, while the little guy gets stiffed."

Considering how Al Franken, Randi Rhodes, producer Billy Kimball and others made a small fortune working at Air America (even if one or two paychecks bounced), does it bother them to know that dozens of creditors have again been burned?

Keep in mind that during the company's recent bankruptcy auction, absolutely no bidders came forward with a better deal than this one. Is this a clear indication that nearly everyone believes Air America Radio is a worthless operation?


In reviewing coverage of Air America's bankruptcy saga, we couldn't find a single story that made reference to any of this, although one published at TheDeal.com did indirectly cover some of the related fallout. It's the closest we've seen to an accurate piece about the latest move in this ongoing shell game.

For the news media, meanwhile, we have a few questions:


Would you consider taking a break from lavishing praise upon Al Franken replacement Thom Hartmann and actually examine the court filings?


Is it simply too painful to admit that after three years on the air, even Air America's insiders believe the network is worth exactly nothing?


With relatively little invested so far, how did Stephen L Green manage to secure a key stake in the new operation?


Given its track record to date, does anyone have an idea how Air America could ever possibly begin to make money?

Of course, even Talkers magazine is now being trashed by you rightist tricksters since its latest annual Hot 100 list has Ed Schultz at #5 and Randi Rhodes at #13 when you were saying all along they had no listeners at all.

    You may have sold yourself to NPR as some authority but there is no mask you can put on that can hide the fact that you are a GOP dirty trickster tasked with collapsing progressive talk radio using phony ratings, rumours, and relentless bombast. This is because the GOP AM talk radio disinformation juggernaut is built upon such a thin tissue of lies that having even a fledgling startup like Air America speaking truth to it's (false) power threatens to collapse the whole edifice. You simply cannot perpetrate lies about Iraq having WMD's, nuclear weapons 15 minutes from U.S. targets, etc. etc. when you have a nearby station on the radio dial countering the lies with cold checkable facts. The example is the pages-long list of GOP perverts which was posted here last week, every one of which checked out when Googled - while a counter list of talk radio myths about the Clintons had every single item linked only to the site "Free Republic" which is a right wing looney site frequented by 700 pound toothless redneck freaks. Your lies to not stand up to even cursory fact checking, which Air America and progressive talk do as a full time debunker.     This is an EXCELLENT question, SU, and I will inquire about it on Monday...under the standards of fiscal ethics that were adopted during the early-80s Reagan era, this sort of deal is not unusual, and would not be signed off on unless significant recompense were to be made to even the largest investors, long-term...the Greens have the pull Glaser did not to stifle any opposition, at any rate.

    Nothing here is actionable, however (which is true of all allegations made at the Radio Equalizer, regrettably)....

    But it is remarkable.

    As is the question-how relevant is a blog that is almost completely fixated on the affairs of one radio host, and one network, after that host is long gone and the network is almost totally reorganized?

    Remember, Sean Hannity has seen a precipitous decline in listenership, even with Rush as a lead-in, in New York...Why? My take is that Sean tied his future to his loyalty to the Bush Crime Family, and yoked himself to an unpopular war in an area where his listenership is overwhelmingly Roman Catholic...

    Laura Ingraham is in similar straits (rumor has it that John Batchelor will be returning to the airwaves this spring....)

    It's pretty clear that the success of ALL talkers will depend on how they manage to prove their adaptability to change, as the focus of what people really want to hear shifts, and the complexities of issues like healthcare, crime and punishment, influence of elites on the media and world events, illegal immigration, etc. begin to assert themselves...

    I am glad for Brian he has scored with NPR for tomorrow (although I am not positive it will actually ever be aired in many markets)...perhaps the outcome will be more interesting than usual....maybe some positive discussion points can be raised.

    I find it difficult to debate with people who admittedly are fanatics for hash, but I will try.
    The idea that "neocons" are unchallenged in this world, much less the MSM, is delusional. Without knowing the headlines, I'll bet that both the LA Times and the NY Times will have an anti-Bush/ anti-Cheney story tomorrow. Heck, they'll probably throw in an anti-Rumsfeld story too.
